Legal Counsel, Commercial
Job Description
Aave Labs is hiring in-house Legal Counsel focused on commercial matters, acquisitions, and strategic transactions. The role structures and negotiates partnerships, integrations, vendor deals, and M&A-style transactions, including deal structures involving token consideration.
Responsibilities
- Draft, review, and negotiate commercial agreements including partnerships, tech/software, integrations, and vendor deals
- Support strategic partnerships with financial institutions, fintechs, and infrastructure providers
- Support acquisitions, asset purchases, and acqui-hires end-to-end
- Run legal due diligence and translate findings into practical recommendations
- Draft NDAs, LOIs, term sheets, purchase agreements, and IP transfer documents
What we are looking for
- 4+ years as a practicing lawyer in corporate or commercial law, complex transactions
- Fintech, crypto, or digital-asset experience
- Working knowledge of digital-asset regulatory frameworks
- Familiarity with DeFi protocols and on-chain/DAO governance as counterparties
- Experience structuring consideration involving tokens
Additional Information
The role is hybrid with a preference for candidates based in or willing to relocate to New York, NY, and relocation assistance is offered.
